The LOI records the commercial cornerstones — price, structure, exclusivity and timeline. Usually non-binding, except for confidentiality and exclusivity. A good LOI prevents later surprises.

Purchase agreement (SPA) & warranties

In the share purchase agreement (SPA) the price mechanism, warranties (reps & warranties), indemnities and conditions precedent are negotiated. This is where it is decided how much of the price actually reaches you — we negotiate with discipline on your side.

Signing & closing

At signing the contract is signed; at closing the deal completes once the conditions precedent are met. We coordinate the notary, advisors and conditions — and stay at your side beyond the appointment.

Negotiation & closing

The LOI records the intent and cornerstones of a deal. As a rule it is non-binding — usually only clauses on confidentiality, exclusivity and cost allocation are binding.
At signing the purchase agreement is signed. At closing the company actually transfers — after all conditions precedent (e.g. merger clearance) are met. Weeks can lie between the two.
The object of purchase and price mechanism (e.g. locked box or closing accounts), warranties, indemnities, conditions precedent and liability rules. The SPA translates the agreement into enforceable law.
Typically 2–4 months, longer for complex transactions. Good preparation and a clean data room keep this phase short.
